Effective upon electronic signature. Between: CSV Ventures LLC ("Company," "OperatorOS") and the individual identified in the access request form ("Recipient").
1. Purpose
The Company is developing a proprietary AI-powered personal command center and executive operating system under the name OperatorOS (the "Platform"). The Recipient has expressed interest in participating as a beta tester or early-access user. In connection with this participation, the Company may disclose certain Confidential Information to the Recipient.
2. Definition of Confidential Information
"Confidential Information" means all non-public information disclosed by the Company to the Recipient, whether orally, in writing, electronically, or by any other means, including but not limited to:
- The Platform's features, functionality, design, architecture, and user experience
- Proprietary algorithms, artificial intelligence models, data structures, and workflows
- Business strategies, roadmaps, pricing, financial projections, and go-to-market plans
- User data, client information, and internal communications
- Any software, code, prototypes, mockups, or demonstrations
- The identity of other beta users or testers
- Any information designated as confidential or that a reasonable person would understand to be confidential given the nature of the disclosure
3. Obligations of the Recipient
The Recipient agrees to:
- Hold in strict confidence all Confidential Information and not disclose it to any third party without prior written consent from the Company
- Use the Confidential Information solely for the purpose of evaluating and testing the Platform as a beta user, and for no other purpose
- Not reproduce, copy, or distribute any Confidential Information in any form
- Not reverse engineer, decompile, or disassemble any aspect of the Platform
- Not screenshot, record, or publicly share any aspect of the Platform, including but not limited to its user interface, features, or communications, without express written permission
- Immediately notify the Company of any unauthorized use or disclosure of Confidential Information
- Protect the Confidential Information using at least the same degree of care used to protect their own confidential information, but no less than reasonable care
4. Exclusions
The obligations of this Agreement do not apply to information that:
- Is or becomes publicly known through no breach of this Agreement by the Recipient
- Was rightfully known by the Recipient before disclosure by the Company
- Is independently developed by the Recipient without use of any Confidential Information
- Is required to be disclosed by law or court order, provided the Recipient gives prompt written notice to the Company and cooperates with any effort to seek a protective order
5. Intellectual Property
All Confidential Information, including all feedback, suggestions, ideas, or improvements provided by the Recipient regarding the Platform ("Feedback"), shall remain the exclusive property of the Company. The Recipient hereby assigns to the Company all rights, title, and interest in any Feedback provided during the beta period. Nothing in this Agreement grants the Recipient any license, ownership right, or interest in the Platform or any intellectual property of the Company.
6. Beta Participation Terms
The Recipient acknowledges that:
- Access to the Platform is provided on a limited, revocable basis at the Company's sole discretion
- The Platform is in development and may contain bugs, errors, or incomplete features
- The Company makes no warranties, express or implied, regarding the Platform's fitness, availability, or performance
- Participation in the beta does not guarantee continued access, pricing, or a commercial relationship
- The Company may terminate access at any time, with or without cause
7. WhatsApp & Communication Channels
The Recipient consents to being added to a private WhatsApp group for the purpose of beta coordination, feedback collection, and product updates. The Recipient agrees not to share, screenshot, or distribute any communications, materials, or information shared within this group. All content within the WhatsApp group constitutes Confidential Information subject to this Agreement.
8. Term
This Agreement shall remain in effect for a period of three (3) years from the date of electronic signature, or until the Confidential Information enters the public domain through no fault of the Recipient, whichever occurs first. Obligations regarding trade secrets shall survive indefinitely.
9. Remedies
The Recipient acknowledges that any breach of this Agreement may cause irreparable harm to the Company for which monetary damages would be inadequate. The Company shall be entitled to seek injunctive or other equitable relief in addition to all other remedies available at law or in equity. The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees and costs.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Collin County, Texas.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, understandings, or agreements. This Agreement may not be modified except by a written instrument signed by both parties. If any provision is found to be unenforceable, the remaining provisions shall remain in full force.
12. Electronic Signature
By typing your full legal name below and clicking "I Agree & Sign," the Recipient acknowledges that they have read, understood, and agree to be legally bound by the terms of this Agreement. This electronic signature shall have the same legal effect as a handwritten signature pursuant to applicable electronic signature laws, including the Electronic Signatures in Global and National Commerce Act (E-SIGN).
